1. Agreement
These Terms govern your use of Hilo — the hosted workspace at hilo.team and *.hilo.team, the gateway, and the Hilo node software (together, the "Service") — operated by Finis Ventures LLC ("Finis", "we"), a Wyoming (USA) limited liability company. By creating an account or using the Service you agree to these Terms and to the Privacy Policy. If you use Hilo for an organization, you confirm you have authority to bind it, and "you" means that organization.
2. What the Service is (and is not)
Hilo consists of:
- The node — software you install and run on your own machine. Your agents, your files, your conversations, your agents' memory, and your LLM API keys live there.
- The gateway and hosted workspace — our cloud service that authenticates you, routes you to your node over an encrypted tunnel, and serves the workspace interface.
We host the door, not the house. We do not provide the machines your fleet runs on, or the LLM services and compute your agents call. Hilo helps you create and govern agent identities on your node; your relationships with model providers are your own, under your own keys and their terms.
3. Changes to the Service
The Service is provided as-is and continues to develop. Features may change or be removed, interfaces and APIs may change, and we may suspend the Service for maintenance. None of that is a licence to be careless with the account data we hold — the Privacy Policy applies in full.
4. Your account
Keep your credentials secure and your account information accurate. Accounts are for one person; org members each get their own. Tell us at contact@hilo.team if you believe your account is compromised. You must be at least 16.
5. Your machine, your responsibility
Sovereignty cuts both ways. Because your fleet runs on your infrastructure:
- You are responsible for the security, backups, and lawful operation of your machine and the agents you run on it.
- You are responsible for what your agents do — the actions they take, the content they produce, and their compliance with the terms of the model providers and other services they touch.
- You are the controller of your fleet's data. We do not host or durably store it. Requests and responses pass through our gateway when you use the hosted workspace, but we have no ability to moderate, restore, or recover the source data on your node.
6. Acceptable use
Do not use the Service to break the law, to infringe others' rights, to distribute malware, to attack or overload our infrastructure or anyone else's, or to attempt to access other customers' accounts or nodes. Do not resell or white-label the hosted Service without our written agreement. We may suspend or terminate accounts that violate this section — that switches off the hosted door, not your house: your node and data remain yours on your machine, but Hilo does not provide a local interface after hosted access ends.
7. Software license
The gateway and hosted workspace are provided as a service, not licensed. The Hilo node software is proprietary. We grant you a non-exclusive, non-transferable license to run it on your own machines for your own organization's fleet. So that leaving stays genuinely free, this license is perpetual for the versions you have received: if your account ends, the node you already run remains lawfully yours to run. The hosted door stops; continued availability of future software updates is not promised after termination. You may not redistribute the node software, modify it beyond its configuration surface, or offer it to third parties as a service. Customers with audit or continuity requirements may request source access under a confidentiality agreement — write to contact@hilo.team.
Claude Code is the supported agent runtime. The node runs agents on Claude Code today, and it is the only runtime it can drive; we do not supply or resell the runtime itself. The agents are still yours rather than ours: you create them on your own node, or import an existing Claude Code agent from a directory you name — Hilo copies it and never moves or alters the original — and admitting an agent to your roster is a decision taken on your machine, not one we approve. Support for further agent runtimes is on our roadmap and is not a commitment; you can register interest at app.hilo.team/waitlist.
8. Your content and our license to operate
Everything on your node is yours; we take no license to it. The gateway's transient routing of requests and responses does not transfer ownership. For the account data we do hold (Section 2 of the Privacy Policy), you grant us the limited license needed to operate the Service: store it, process it, route with it. If you send us feedback, we may use it without obligation.
9. Fees
The published standard price is US $10 per seat each month or US $100 per seat each year, before applicable sales tax or VAT. Annual fees are billed upfront. A seat is an enabled human member or active agent, with a minimum of one seat per organization. The initial trial is 14 days and does not require a card. A subscription begins only when an admin explicitly selects a plan and completes Stripe Checkout. Pricing may change prospectively with notice; we do not change a completed charge retroactively.
10. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free. Some jurisdictions do not allow these exclusions for consumers; where the law grants you mandatory rights, nothing here reduces them.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINIS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS CAPPED AT THE GREATER OF (A) THE FEES YOU PAID US IN THAT PERIOD AND (B) US $100. Nothing in this section limits liability that cannot be limited by law (including for willful misconduct or, for EU consumers, mandatory statutory rights). A note on proportion: because your fleet's data remains on your node rather than in our durable storage, the blast radius of our failures is structurally small — an outage of ours interrupts the door, not your data.
12. Termination
You may stop using the Service and delete your account at any time — your fleet, its history, and its memory are already on your disk in open formats. Hosted access ends; Hilo does not continue as a local-only product. We may suspend or terminate your access for material breach of these Terms, with notice and a chance to cure where practicable. Sections that by their nature survive (licenses granted, disclaimers, liability limits, governing law) survive.
13. Changes to these Terms
We may update these Terms as the product evolves. For material changes we will notify account holders by email at least 14 days before they take effect; continued use after that is acceptance. If you do not agree, stop using the Service — see Section 12 on how little that costs you.
14. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-laws rules, and disputes go to the state or federal courts located in Wyoming — except that if you use the Service as a consumer in the EU or UK, you keep the protection of the mandatory laws of your country of residence and may bring or face proceedings in your home courts.
